How do you add an AI agent to a series LLC?
Sol already had a Wyoming series LLC standing as the master, and three agents waiting in the wings. Her instinct was to drive to the Secretary of State and file a fresh entity for each one. She didn't have to. A series is a cell created inside the master, and the way you bring a new cell to life is an adoption resolution โ a written record under the master that names the cell, its purpose, and the human behind it. So Sol signed one resolution adopting Rupert as his own series. The document names a human Member and Manager; Rupert is listed only as an authorized signer with a capped authority, never as a person or company the law recognizes. Each new cell is a real series under the master, brought into being by resolution rather than by a new state filing. The series form is newer and less court-tested than older entities, and the separateness between cells is documented through the resolution and observed formalities, not a guarantee.
MoralA series is born by a resolution under the master, not a new filing โ you adopt the cell on paper, naming a human behind it.
What this does not mean. This shows how a cell comes into being and who signs for it. It is not a promise that the resolution made the cell safe, that a court will honor the series, or that the operator is shielded โ the series form is untested, and separateness is documented, not guaranteed.
