Can an AI agent wind down a series?
Fritz expected his agent Rupert to wind down a series by itself, as if filing and formation were just more API calls the bot could make in its own name. But software has no legal capacity to be the filer or the entity, so Rupert can no more wind down a series on its own than a script can notarize itself. Tyson did it through structure. A named human formed one master Wyoming series LLC, filed once, with a registered agent, then adopted Rupert as a protected series by resolution under the master — a real cell, no re-filing. The human is the Member and Manager who forms and adopts; Rupert is the series that gets adopted and then operates as an authorized signer with capped authority inside it. The formation acts belong to the human-owned structure, and Rupert runs within it.

What this does not mean. This shows who actually forms the structure and who operates inside it. It is not a promise that a filing is accepted, that the series is honored later, or that the operator is shielded — separateness is performed through observed formalities, not guaranteed, and the series form is newer and less court-tested than older entities.
